This Artist Agreement (the “AGREEMENT”) is entered into between Artist and Redzarty Limited. All references to Redzarty Limited in this Agreement shall include Redzarty Limited’s affiliates, and subsidiaries.
Scope of this Agreement. This Agreement applies to any image, graphics, digital assets, or digital images created by Artist and delivered to Redzarty Limited (collectively known as “IMAGES”). This Agreement governs the relationship between the parties and in no communication or other exchange, shall modify the terms of this Agreement unless agreed to in writing.
All-Rights for Limited Purpose. Artist hereby grants and assigns to Redzarty Limited the exclusive rights to utilize the delivered artwork in relation to producing and promoting either a) a limited edition print run not to exceed 500 copies or b) an unlimited edition print run. All Rights Reserved. Prints may be promoted and sold as framed or unframed in any size, but not exceed the limited 500 copies of the original artwork in total if promoted as a limited edition. There shall be no further use for any other purpose not stated herein, unless modified in writing and signed by both parties.
Copyright and reproduction rights: Artist provides copyright for a specific limited purpose; neither artist nor Redzarty Limited can use the image for any other purpose. In this instance the purpose is producing and promoting up to 500 limited-edition prints or as an unlimited edition print run so the artwork image can never be used for anything else, either by the artist or Redzarty Limited.
Warranty of Originality. The Artist represents and warrants to Redzarty Limited that, to the best of Artist’s knowledge and belief, the Work covered by this Agreement is original, the artist’s own works and has not been previously published or licensed to any third party.
Relationship of the Parties: The parties agree that Artist is an independent contractor and that neither Artist nor Artist’s employees or contract personnel are, or shall be deemed to be, employees of Redzarty Limited. No agency, partnership, joint venture, or employee-employer relationship is intended or created by this Agreement. Neither party is authorized to act as agent or bind the other party except as expressly stated in this Agreement. Artist and the Images or any other deliverables prepared by Artist shall not be deemed a work for hire as defined under Copyright Law. All rights granted to Redzarty Limited are contractual in nature and are expressly defined by this Agreement.
Uploading: Artist may select delivery of photographs in JPEG, TIFF or PNG format at a resolution of 300dpi at the required print size as defined by Redzarty Limited at time of uploading. It is Redzarty Limited’s responsibility to verify that the Images are suitable for reproduction and that if the Images are not deemed suitable, to notify the Artist within five (5) business days. Artist’s sole obligation will be to replace the Images at a suitable resolution but in no event will Artist be liable for poor reproduction quality, delays, or consequential damages. Unless otherwise specifically provided, Artist is not responsible for providing images 1) larger than 10”x15” at 300 dpi or 2) in a format higher than 8-bit or in RAW format. Artist has no obligation to retain or archive any Images delivered to Redzarty Limited.
Fees: All fees and expenses payable will be on a commission by sale basis. Redzarty Limited will pay artist £5 per limited edition sold or £2 per unlimited edition sold, irrespective of format or price. Fees are payable and the end of the calendar month following month of sale.
Indemnification: It is the Artist’s responsibility to obtain the necessary model or property releases relating to their artwork and ensure they are full effect and in force.
